1. Definitions

In this Participation Agreement, the following terms carry specific legal definitions within the EclipsiumX Universe:

• “Company” refers to EclipsiumX SRL, registered under CUI: 53832723, EUID: ROONRC.J2026008520009, Vaslui, Romania.
• “Participant” refers to any individual, enterprise, organization, or legal entity holding a UniversePass or accessing ecosystem resources.
• “UniversePass” refers to the universal access credential and identity pass granting entry keys and operational rights across the EclipsiumX Universe.
• “Access Key” refers to the specific operational key level (Essentials Key, Pro Key, Infinity Key) held by a Participant, defining capacity, infrastructure priority, and feature scope.
• “Operational World” or “Verse” refers to any independent digital operating environment built within the EclipsiumX ecosystem architecture, including TransportVerse, BusinessVerse, LexiVerse, InfrastructureVerse, TransmissionVerse, WebVerse, ITVerse, and MarketingVerse.
• “AurionX” refers to the native artificial intelligence cognitive engine and multi-agent coordination layer powering intelligence across all Verses.
• “Identity Layer” refers to the unified identity and authentication system connecting Participants to their digital assets and Operational Worlds.
• “Infrastructure Resources” refers to compute, storage, bandwidth, network routes, and cloud environments provisioned via InfrastructureVerse.
• “Ecosystem Participation” refers to active utilization, deployment, communication, governance, or resource interaction within any Operational World.

2. Acceptance of Terms & Ecosystem Entry

By activating a UniversePass, acquiring an Access Key, participating in Operational Worlds, or accessing any ecosystem resource, you confirm that you:

• are at least 18 years old or possess legal corporate authority to bind your organization;
• agree to comply fully with this Ecosystem Participation Agreement;
• maintain accurate, current, and complete identity credentials within the Identity Layer;
• utilize all Operational Worlds and Infrastructure Resources in compliance with applicable European Union and international laws.

Active participation in the EclipsiumX ecosystem constitutes binding legal acceptance of these Terms.

3. Ecosystem Architecture & Operational Worlds

EclipsiumX operates a multi-world digital ecosystem structured around identity, infrastructure, intelligence, and dedicated operational environments. Access to all Verses is unified through UniversePass. The ecosystem includes:

• TransportVerse: Logistics Operating System and transport operational worlds.
• BusinessVerse: Identity-Driven Business Worlds, commercial, legal, and operational suites.
• AurionX: Native AI & Cognitive Core delivering autonomous intelligence across Verses.
• LexiVerse: Intelligent Knowledge, Localization, and Multilingual Learning Systems.
• InfrastructureVerse: Cloud compute, dedicated servers, file systems, and infrastructure resources.
• TransmissionVerse: Ecosystem Communications Network, secure mail, and interaction channels.
• WebVerse: Digital Presence, web application delivery, and high-performance hosting.
• ITVerse: Automation Engine, engineering workflows, and system integration.
• MarketingVerse: Growth & Digital Campaign Infrastructure systems.

Each Operational World operates under unified governance provided by the Identity Layer, AurionX Coordination Layer, and InfrastructureVerse resources.

4. Participant Responsibilities

All Ecosystem Participants agree to fulfill the following obligations:

• maintain absolute confidentiality and security of UniversePass identity credentials;
• prevent unauthorized third-party access to their Access Keys and assigned Operational Worlds;
• avoid Ecosystem Resource Misuse, including automated resource hoarding, network disruption, or unapproved exploitation;
• ensure all deployed data, code, workflows, and communications comply with intellectual property rights and applicable laws;
• use AurionX intelligence outputs responsibly and in accordance with ethical standards.

5. UniversePass Billing & Access Tiers

Ecosystem participation is governed by the UniversePass Access Key held by the Participant. Access Keys may require recurring contributions, licensing fees, or infrastructure resource allocations depending on the chosen tier:

• Essentials Key: Entry-level operational access across core Verses.
• Pro Key: Professional operational capacity, expanded inboxes, and engineering automation.
• Infinity Key: Universal enterprise access key with dedicated infrastructure layer and custom operational environments.

Renewals, tier upgrades, resource expansions, and downgrades are processed automatically through the Identity Layer. Failure to maintain required allocations may result in Access Key degradation or temporary operational suspension. Refunds adhere strictly to our Refund Protocol.

6. Infrastructure & Operational Availability

EclipsiumX targets high availability across InfrastructureVerse resources and Operational Worlds. However, uninterrupted access cannot be guaranteed due to scheduled maintenance windows, emergency security patches, resource allocation thresholds, or upstream third-party infrastructure dependencies.

7. Limitation of Liability & Risk Allocation

To the maximum extent permitted by applicable law, EclipsiumX SRL shall not be liable for:

• operational downtime resulting from third-party infrastructure failures or network force majeure;
• data disruptions or losses caused by unauthorized Participant actions or misconfigurations;
• cognitive interpretation variations or automated decisions produced by AurionX intelligence engines;
• unforeseen cyber attacks or systemic events beyond reasonable technical control.

EclipsiumX’s total aggregate liability for any claim arising under this agreement is strictly capped at the total amount paid by the Participant in the twelve (12) months preceding the incident, or the minimum statutory limit required by law. Consequential, indirect, or punitive damages are explicitly excluded.

8. Ecosystem Participation Termination & Suspension

Participation in the EclipsiumX Universe may be terminated or suspended under the following framework:

• Participant-Requested Termination: Participants may request UniversePass deactivation at any time through legal channels.
• Non-Violation Termination: EclipsiumX will provide a minimum 30-day advance notice for any non-violation termination whenever practical.
• Violation Suspension: Immediate Access Key revocation or temporary operational freeze may occur in cases of severe security threats, illegal activity, or ecosystem misuse.
• Data Export Window: Following notice of termination, Participants are granted a 14-day data export window to retrieve operational assets where legally and technically feasible.
• Appeals & Reinstatement: Suspended participants may submit a formal appeal through Transmissions for review by Ecosystem Coordinators.

9. Governing Law & Dispute Resolution

These Terms and all ecosystem participation activities are governed by the laws of Romania and the European Union framework. In the event of a dispute, parties agree to first engage in good-faith informal resolution via legal channels. Unresolved disputes shall be submitted to binding arbitration or litigated exclusively within the competent courts of Romania.

11. Intellectual Property & Brand Rights

All proprietary rights, software code, design systems, trade secrets, and brand assets relating to EclipsiumX, UniversePass, AurionX, and all Operational Worlds (TransportVerse, BusinessVerse, LexiVerse, InfrastructureVerse, TransmissionVerse, WebVerse, ITVerse, MarketingVerse) remain the exclusive intellectual property of EclipsiumX SRL. Participants receive a non-exclusive, non-transferable right of operational access tied strictly to their active Access Key.

12. Data Processing & Privacy Framework

Data handling across all Operational Worlds is conducted in full compliance with the European Union General Data Protection Regulation (GDPR). For detailed specifications on data storage, processing roles, and privacy rights, refer to our Privacy Protocol, Data Processing Agreement (DPA), and Security Shield documentation.

13. Strategic Partnerships & Integrations

Third-party services, Verse integrations, and strategic partner modules connected to the EclipsiumX Universe operate under specific API agreements and interoperability standards. EclipsiumX does not assume responsibility for external third-party software or independent participant deployments.

14. Modification of Ecosystem Terms

EclipsiumX reserves the right to modify or evolve this Participation Agreement as the ecosystem expands. Material updates will be announced at least 14 days prior to taking effect. Continued participation in the EclipsiumX Universe following the effective date of changes constitutes acceptance of the updated terms.
